Reliance Communications – Overview

Reliance Communications (RCOM) is a telecommunications operator in India and through its international subsidiary Global Cloud Xchange. Reliance Communications is also one of the biggest IDC service providers with data centers in four cities, having a total capacity of over 1.1 million square feet and the new data center is also under construction.

History of Reliance Communications

Reliance Communications was established in India in the year 2002 as Reliance Infocomm with the introduction of its nationwide CDMA2000 service. The organization also introduced its GSM service in the year 2008 and began using MIMO technology in the year 2011 in order to improve the quality of its 3G service, which provides a data rate of up to 28 MBps.

In the 2010 spectrum auction, Reliance acquired 3G spectrum in three cities for ₹58,642.9 million. The organization diminished the price of its 3G service by 61% in May 2012. Reliance joined Lenovo in order to introduce their co-branded Android smartphones in India the next year. The organization not only ended its CDMA services but also migrated subscribers to its GSM and LTE networks by September 2016.

Acquisition of MTS India

On 14th January 2016, Reliance declared that it had acquired Sistema Shyam TeleServices Limited (MTS India) in an all-stock deal in which SSTL received a 10% stake in Reliance after paying its existing debt. Reliance would accept the responsibility for installments which MTS owed the government for spectrum purchases, amounting to ₹392 crore annually for 10 years. As a result of the deal, Reliance also acquired MTS India’s subscribers and SSTL’s spectrum in the 850-MHz band as well.

Attempted merger with Aircel

On 14th September 2016, Reliance and Maxis Communications (owners of Aircel) declared that they would merge their mobile networks. The deal, the biggest consolidation in Indian telecommunication history, would have formed the fourth-largest mobile network operator in the country in subscribers and revenue. Reliance and Maxis would each hold a 50% stake in the merged entity, with equal portrayal on its board of directors and committees. Reliance would continue to operate in the enterprise segment and data-center businesses as a standalone organization.

The company announced on 15th March 2017 that it had received approval from the Securities and Exchange Board of India (SEBI), Bombay Stock Exchange(BSE), and the National Stock Exchange(NSE). The deal was approved by the Competition Commission of India (CCI) on 20th March. Aircel and Reliance shareholders approved the merger on 22nd and 24th April 2017 respectively and it was expected to be completed by mid-2017.

However, On 01st October, Reliance declared that it had granted the merger agreement to lapse. The deal, which was expected to help the organization pare ₹25,000 crore of debt, was canceled due to delays by established competition. Reliance was looking at other options to meet their requirements under the SDR agreement and avoid insolvency proceedings by banks. because of the failed Aircel merger, the organization announced to employees in the wireless and DTH businesses on 25th October 2017 that they would be redundant effective 30th November. On 29th December 2017, Reliance discontinued voice services in India and would provide only 4G data service.
